Prepayment Sync — internal accounting integration

This End User License Agreement (the “Agreement”) governs use of Prepayment Sync (the “Software”), an internal software integration developed and operated by Skwentex International Company USA LLC (“Skwentex”, “we”, “us”).
The Software is built for Skwentex’s own accounting operations. It is not sold, licensed, distributed, or made available to any third party, is not listed on the QuickBooks App Store or any other marketplace, and connects only to accounting systems owned and controlled by Skwentex.
Use is limited to employees and contractors of Skwentex who have been authorized by Skwentex management to operate or maintain the Software. No other person is granted any right to use it.
Subject to this Agreement, Skwentex grants authorized users a limited, revocable, non-exclusive, non-transferable licence to use the Software solely for Skwentex’s internal accounting purposes.
The Software transfers vendor prepayment transactions recorded in Zoho Books and Zoho Inventory into QuickBooks Online, posting them as journal entries, and posts corresponding reversing entries when a prepayment is later applied to a bill. Its purpose is to keep the general ledger complete and accurate.
The Software writes only journal entries to QuickBooks Online. It does not create, modify, or delete invoices, bills, customers, vendors, items, or any other record type.

The Software connects to QuickBooks Online, operated by Intuit Inc., and to Zoho Books and Zoho Inventory, operated by Zoho Corporation. Use of those services is governed by their own agreements with Skwentex. Skwentex is not responsible for the availability, accuracy, or continued operation of those services, and this Agreement grants no rights in them.
Our handling of information accessed by the Software is described in our Privacy Policy, which forms part of this Agreement.
Skwentex retains all right, title, and interest in the Software, including all intellectual property rights. Nothing in this Agreement transfers ownership.
The Software is provided “as is”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Skwentex does not warrant that the Software will be uninterrupted or error-free.
The Software is an aid to bookkeeping and does not replace review by qualified accounting personnel. All entries it produces remain subject to Skwentex’s own review and close procedures.
To the maximum extent permitted by law, Skwentex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to the Software.
This Agreement applies for as long as an authorized user has access to the Software. Skwentex may suspend or terminate access, and may disconnect the Software from any connected service, at any time and without notice. On termination, the licence in section 2 ends immediately.
Skwentex may update this Agreement. The current version is always published at this address, and the effective date above will be revised when it changes.
This Agreement is governed by the laws of the State of California, United States, without regard to its conflict of laws rules.
